General

Leatroz operates websites (including mobile-optimized websites), associated web pages, associated mobile apps, and other applications, linking to or bearing these Terms of Use and operated by or on behalf of Leatroz (collectively, the "Leatroz Network"). Any person accessing or using the Leatroz Network is referred to as "you."

Before you continue using our website, we advise you to read our Privacy Policy regarding our collection and use of your data. It will help you better understand our practices.

SMS Disclosure

Please note that, subject to end-user opt-in, Leatroz will periodically send SMS (marketing, transactional, and informational) notifications. Message volume may vary. Text HELP for assistance. Text STOP to unsubscribe. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

Acceptance of Terms

By accessing or using any part of the Leatroz Network or the services provided on it (collectively, the "Services"), you agree to accept and comply with the terms, conditions, and notices stated herein, as may be modified by Leatroz from time to time without prior notice to you (the "Terms of Use"). These Terms of Use constitute a binding contract between Leatroz and you. You are responsible for regularly reviewing the Terms of Use. The most current version is always available at leatroz.com/terms-and-conditions. If you do not wish to be bound by these Terms of Use, please do not access or use any part of the Leatroz Network.

General Use of the Leatroz Network

Unless specified otherwise, Leatroz offers you access to the Leatroz Network solely for your personal and non-commercial uses in connection with your participation in the Leatroz referral program. You agree to access or use the Leatroz Network only for lawful purposes permitted by these Terms of Use. Among other things, you agree not to:

• Modify, copy, distribute, transmit, display, reproduce, publish, license, create derivative works from, frame, transfer, or sell any information, software, lists of users, databases, or other content obtained through the Leatroz Network, including through screen scraping or database scraping;
• Damage, disable, overburden, or impair the Leatroz Network, or interfere with another party's use and enjoyment of it;
• Attempt to access password-protected, secure, or non-public areas of the Leatroz Network without express written permission;
• Create links to any page within the Leatroz Network without prior written notice to Leatroz, except direct links to the Leatroz homepage accompanied by clear attribution.

Leatroz may, in its sole discretion and at any time, terminate your access to and use of the Leatroz Network, with or without notice, including immediately upon a violation of these Terms of Use. Leatroz reserves the right to modify or discontinue the Services, or any portion thereof, at any time, without liability to you.

Content Contained in the Leatroz Network

The Leatroz Network and all of its contents, including without limitation all text, images, designs, icons, trademarks, copyrighted material, software, and other materials (collectively, "Content"), is owned by Leatroz and/or third parties, with all rights reserved unless otherwise noted. Leatroz grants you a limited license to access and use the Leatroz Network and Content solely for informational and personal purposes in connection with your use of the Services. You are strictly prohibited from downloading, modifying, or otherwise using the Leatroz Network or Content except with Leatroz's express written consent.

Content is provided "AS IS," and you agree that your use of and reliance on any Content is at your own risk. Under no circumstances shall Leatroz be liable for any Content or for any loss or damage of any kind incurred as a result of the use of any Content made available through the Services.

Content You Provide

To the extent that you post, upload, submit, or otherwise transmit content on or through the Leatroz Network ("Transmit"), you agree to provide true, accurate, and complete information, and you represent and warrant that you own or otherwise control all rights necessary to Transmit such content. You agree not to use the Leatroz Network to transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, invasive of another's privacy, or that infringes any patent, trademark, trade secret, copyright, or other proprietary right of any party, or that violates the Fair Housing Act, the Civil Rights Act of 1866, the Americans with Disabilities Act, the Equal Credit Opportunity Act, or any other applicable law.

Listing photographs and related materials submitted for virtual staging, HDR editing, ad design, or any other Leatroz service. If you submit a photograph, listing detail, or other material to Leatroz for use in virtual staging, photo editing, ad design, or any similar service, you represent and warrant that you own the material or otherwise hold all rights necessary to permit Leatroz to edit, reproduce, and use it for the requested purpose. You agree to indemnify and hold Leatroz harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from a third party's assertion that material you submitted infringed their rights.

By Transmitting content to the Leatroz Network, you grant Leatroz a non-exclusive, worldwide, royalty-free license to use, copy, and display that content solely as necessary to provide the Services to you. This section is governed by, and should be read together with, the Leatroz Privacy Policy with respect to any personal information contained in such content.

Ability to Opt Out of Certain Communications

You may opt out of receiving certain marketing communications (email or text) from Leatroz. Marketing emails include an opt-out link; marketing texts can be stopped by replying STOP, or by emailing support@leatroz.com with your name, phone number, and a description of the message received. Opting out of marketing messages will not necessarily stop non-marketing communications related to a referral you have submitted, an appointment you have scheduled, or a transaction you have with Leatroz. Additional SMS program details:

• Message and data rates may apply.
• Message frequency varies and may be recurring.
• Text STOP to a marketing text to opt out of further such texts.
• Text HELP to a marketing text for assistance.
• Program sponsor: Leatroz.
• Messages may include both marketing and non-marketing texts.
• Carriers disclaim liability for delayed or undelivered messages.

How Referrals Are Verified and Delivered

Every inbound inquiry received through the Leatroz Network is routed to Leatroz's internal verification team before it is made available to any agent. The verification team contacts each buyer or seller directly by phone, email, and/or message to confirm their identity, their expectations for the applicable market, their intent and readiness to work with a licensed agent, and their intended timeline to move forward. Leatroz refers to this process as the "Handoff Protocol."

Only inquiries that clear the Handoff Protocol are released to an agent, delivered as a live call transfer, a scheduled appointment, or by email, depending on the agent's selected plan and availability at the time. Leatroz does not compromise the verification standard applied to any referral regardless of the plan under which it is delivered.

No Guarantee of Referral Volume or Outcome

Leatroz's plans describe an expected range of referrals over a stated period based on historical network performance. These ranges are estimates, not guarantees. Leatroz does not guarantee any specific number of referrals, appointments, signed agreements, or closed transactions under any plan. Leatroz is a referral marketing platform and does not operate as a real estate brokerage; all real estate services are provided by independently licensed agents.

Referral Acceptance and Feedback Window

Upon delivery of a referral, the receiving agent has thirty-six (36) hours to notify Leatroz if the referral does not meet expectations. If Leatroz does not receive such notice within that window, the referral is deemed accepted for all purposes under these Terms of Use, including for purposes of the Refund Policy below and any applicable referral fee.

Client Management Portal

Leatroz is developing a proprietary Client Management Portal ("CMP") to allow agents to track referrals, appointments, and closed deals in one place. The CMP is not yet live and is marked "Coming Soon."

Once officially launched, access to the CMP will be provided to eligible Leatroz clients based on their subscribed plan and service agreement. Leatroz reserves the right to release the CMP in phases, limit access to certain features during early rollout, and modify, delay, or discontinue features at its discretion. No specific launch date or guaranteed timeline is provided for CMP availability.

The CMP's features, tools, and functionality may evolve over time, and Leatroz may add, remove, modify, or restrict features without prior notice in order to improve performance, security, or compliance. Until officially launched, the CMP is provided on an as-is and when-available basis, and Leatroz makes no guarantee regarding its uptime, performance, or feature completeness upon release. Upon the official release of the CMP, these Terms of Use may be updated to reflect CMP usage, data handling, and acceptable use. Continued use of the Services after such an update constitutes acceptance of the revised terms.

Governing Law; Agreement to Arbitrate

These Terms of Use are governed by the laws of the State of Texas, U.S.A., without regard to its conflict-of-laws principles.

YOU AGREE THAT ANY AND ALL DISPUTES OR CLAIMS THAT MAY ARISE BETWEEN YOU AND LEATROZ SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT, EXCEPT THAT YOU MAY ASSERT CLAIMS IN SMALL CLAIMS COURT IF YOUR CLAIMS QUALIFY. THE FEDERAL ARBITRATION ACT GOVERNS THE INTERPRETATION AND ENFORCEMENT OF THIS SECTION. YOU AGREE THAT YOU AND LEATROZ MAY BRING CLAIMS AGAINST EACH OTHER ONLY ON AN INDIVIDUAL BASIS, AND NOT AS PART OF ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING.

The arbitration will be administered by the American Arbitration Association ("AAA") under its applicable rules, available at www.adr.org, and will be held in the county in which Leatroz maintains its principal place of business in Texas, or at another mutually agreed location. If the value of the relief sought is $2,500 or less, either party may elect to have the arbitration conducted by telephone or based solely on written submissions, subject to the arbitrator's discretion to require an in-person hearing if warranted. Payment of filing, administration, and arbitrator fees will be governed by the AAA's rules. If a court determines any part of this section is invalid or unenforceable, the remaining parts shall still apply.

No joint venture, partnership, employment, or agency relationship is created between you and Leatroz as a result of these Terms of Use or your use of the Leatroz Network.

Disclaimer of Warranties

YOUR USE OF AND RELIANCE UPON THE LEATROZ NETWORK, THE SERVICES, AND ANY CONTENT IS AT YOUR SOLE RISK AND IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LEATROZ MAKES NO EXPRESS OR IMPLIED REPRESENTATIONS, WARRANTIES, OR GUARANTEES REGARDING THE ACCURACY, SUFFICIENCY, COMPLETENESS, OR TIMELINESS OF THE LEATROZ NETWORK, SERVICES, OR CONTENT, AND EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Indemnification

YOU AGREE TO INDEMNIFY AND HOLD LEATROZ, ITS THIRD-PARTY VENDORS, CORPORATE AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS HARMLESS FROM ANY AND ALL CLAIMS AND DEMANDS, INCLUDING REASONABLE ATTORNEYS' FEES, MADE BY ANY THIRD PARTY ARISING OUT OF CONTENT YOU SUBMIT TO THE LEATROZ NETWORK, OR ANY BREACH BY YOU OF THESE TERMS OF USE.

Limitation of Liability

IN NO EVENT SHALL LEATROZ BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE LEATROZ NETWORK, THE PROVISION OF OR FAILURE TO PROVIDE THE SERVICES, OR ANY CONTENT, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF LEATROZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE LEATROZ NETWORK OR THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE LEATROZ NETWORK.

Refund Policy

Refund eligibility depends on the plan selected at the time of registration. Local and Local Lite are non-refundable in all circumstances. Regional, Metro, and National plans become eligible for a refund only after a minimum of three hundred sixty-five (365) days from the subscriber's effective date of enrollment, and any request must be submitted within thirty (30) days of reaching that 365-day mark; no refund will be issued after that window closes. Cancellations prior to the 365-day mark are not eligible for any refund, regardless of plan.

Where a refund is available, it will be issued net of the deductions below for referrals accepted and features used during the subscription term.

Maintaining accurate, up-to-date notes on every referral provided is a condition of refund eligibility. Failure to maintain such notes, or a pattern of failing to provide referral feedback within the applicable acceptance window described above, will be considered in evaluating any refund request and may result in a refund being reduced or denied.
